This Service Agreement ("Agreement") is between My Projects Inc, a California corporation with its principal office at 15313 Cabrito Rd, Unit 107, Van Nuys, CA 91406 ("My Projects," "we," or "us"), and the client identified in the accompanying quote and electronic acceptance ("Client," "you," or "your").
By submitting payment, you electronically sign this Agreement and accept its terms. This Agreement and our Refund & Cancellation Policy are presented to you in full before payment. If you do not accept, please do not submit payment.
1. Scope of Services
My Projects will provide event planning, design, and execution services for the event described in the quote accepted by you (the "Event"). Services may include any combination of the following, as detailed in your specific quote:
- Planning: timeline development, vendor coordination, logistics, contract review
- Design: concept development, mood boards, floral and decor design, layout, signage
- Day-of execution: on-site coordination, setup supervision, vendor management, troubleshooting
- Production (where applicable): custom fabrication, AV and lighting design, large-scale installations
Your specific quote sets forth the exact services, deliverables, package level, and pricing for your Event. In the event of any inconsistency between this Agreement and your quote, the quote controls as to scope, pricing, and event-specific terms.
2. Engagement Term
This Agreement begins on the date you submit payment (the "Effective Date") and continues through the completion of your Event and any post-event obligations (such as final invoicing, vendor reconciliation, and delivery of photographs from contracted photographers).
3. Fees and Payment Terms
3.1 Total Fee
The total fee for the Event is set forth in your accepted quote (the "Total Fee").
3.2 Payment in Full at Booking
The Total Fee is due in full (100%) at the time of booking. Your payment reserves the Event date and authorizes My Projects to begin work, including vendor outreach, design development, and calendar holds. This Agreement does not take effect, and no date is reserved, until payment is received.
Refunds upon cancellation are governed exclusively by Section 5 and the Refund & Cancellation Policy.
3.3 Additional Invoices
Amounts due under approved change orders (Section 4) and the final reconciliation invoice (Section 3.6) are payable within fourteen (14) days of invoice. Amounts not received by the due date accrue interest at one and a half percent (1.5%) per month, or the maximum rate permitted by California law, whichever is lower. If a change-order amount material to the Event remains unpaid five (5) business days before the Event, we may deliver the Event as originally scoped, without the unpaid changes.
3.4 Method of Payment
Payments are processed through Stripe. We accept all major credit cards and ACH bank transfers. We do not store full card details on our servers.
3.5 Taxes
All fees are exclusive of applicable sales, use, or other transaction taxes, which will be added to invoices as required by law.
3.6 Expenses and Vendor Costs
Where vendor costs (florists, caterers, rentals, photographers, venues) are billed at cost or with markup, the relevant treatment is specified in your quote. Final vendor invoices may vary modestly from estimates due to changes in guest count, menu selection, or rental needs; any such variations will be reflected in a final reconciliation invoice within fourteen (14) days after your Event.
4. Change Orders
Any modification to the Event scope — including changes in guest count, package level, design elements, add-ons, or Event date — requires a written change order signed by both parties (email confirmation is sufficient). My Projects will provide a revised price quote reflecting the change before it is finalized.
Changes requested within thirty (30) days of the Event date may incur a rush premium of up to fifteen percent (15%) of the change-order value to cover expedited vendor coordination.
5. Cancellation and Refund Schedule
5.1 Cancellation by Client
You may cancel this Agreement at any time by sending written notice to m.projectsinc@gmail.com. Your refund is calculated based on the number of days between our receipt of your cancellation notice and the Event date:

5.2 Liquidated Damages
Upon booking, My Projects reserves the Event date and declines other engagements for it, begins planning and design work, and commits funds to third-party vendors, much of which cannot be recovered upon cancellation. The parties agree that the actual damages My Projects would suffer from a cancellation are impracticable and extremely difficult to determine in advance, and that the amounts retained under the schedule in Section 5.1 represent a reasonable estimate of those actual damages, agreed upon at the time of contracting pursuant to California Civil Code Section 1671. The retained amounts are liquidated damages, not a penalty.
5.3 Timing of Refunds
Any refund due under this Section 5 or Section 6 will be issued to the Client's original payment method within thirty (30) days of the date My Projects receives the cancellation notice.
5.4 Rescheduling in Lieu of Cancellation
In lieu of cancelling, the Client may reschedule the Event once, to a mutually agreeable date within twelve (12) months of the original Event date, at no additional planning fee, subject to My Projects's availability. Additional vendor or venue costs caused by the new date are the Client's responsibility. A reschedule request received fewer than fourteen (14) days before the Event may be treated as a cancellation under Section 5.1 if vendor commitments cannot be redirected.
5.5 Cancellation by My Projects
We may cancel this Agreement for cause, including the Client's material breach or a Force Majeure Event under Section 6. If My Projects cancels for any reason other than the Client's breach or a Force Majeure Event, My Projects will refund one hundred percent (100%) of all amounts paid by the Client, within thirty (30) days.
5.6 Delay in Performance
If My Projects is unable to perform the services by the agreed date and the delay exceeds thirty (30) days, My Projects will offer the Client the choice of a revised performance date or a refund consistent with this Agreement.
6. Force Majeure
6.1 Definition
A "Force Majeure Event" means any event beyond the reasonable control of the affected party that prevents or substantially impairs performance, including but not limited to:
- Pandemics, epidemics, or widespread illness outbreaks (including any successor of COVID-19)
- Government action, public health orders, or government-mandated closures or capacity limits
- Natural disasters: earthquakes, wildfires, floods, severe storms
- Fire, explosion, or structural failure at the venue
- War, civil unrest, terrorism, or armed conflict
- Strikes, labor disputes, or transportation failures affecting key vendors
- Power, water, or critical utility failure at the venue lasting more than four (4) hours within the Event window
- Venue closure or loss of venue availability beyond the Client's control
6.2 Effect
If a Force Majeure Event prevents the Event from taking place on the scheduled date:
- Reschedule first: We will work with you in good faith to reschedule the Event to a mutually agreeable date within twelve (12) months of the original date, at no additional planning fee. Additional vendor or venue costs caused by the rescheduling are the Client's responsibility.
- Refund secondary: If rescheduling is not possible within twelve (12) months, you may cancel. In that case, we will refund the amount you have paid us, minus any documented non-recoverable vendor commitments already made on your behalf and the reasonable value of planning work already performed at our standard rate, within thirty (30) days.
6.3 Notice
The party affected by a Force Majeure Event must notify the other party in writing as soon as reasonably possible.
7. Photography and Video Rights
7.1 License to My Projects
You grant My Projects a perpetual, royalty-free, non-exclusive license to use photographs and video footage of the Event for our portfolio, website, social media, marketing materials, press submissions, and editorial features, with attribution where appropriate.
7.2 Client Opt-Out
You may opt out of this license by sending written notice to m.projectsinc@gmail.com before the Event date. If you opt out, we will not use Event photography or video for marketing purposes.
7.3 Personally Identifying Use
We will not use any image in which you, your family, or your guests are clearly identifiable in paid advertising without your separate written consent.
7.4 Third-Party Photographers
Where photography or videography is provided by a third party, your rights to those photographs are governed by your contract with that vendor.
8. Vendor Coordination
My Projects coordinates and manages third-party vendors as part of our services. You acknowledge and agree that:
- Each third-party vendor (florist, photographer, caterer, rental company, venue, entertainer, etc.) is an independent business, not an agent or employee of My Projects.
- My Projects is not liable for the performance, conduct, or service quality of any third-party vendor, but we will use commercially reasonable efforts to coordinate, supervise, and address issues that arise.
- Where vendor contracts are signed by you directly, your remedies for vendor failures are governed by those contracts.
- Where vendor contracts are signed by My Projects on your behalf as part of a full-production engagement, we will assist in pursuing remedies but make no guarantee of recovery.
9. Insurance
9.1 My Projects Insurance
My Projects maintains general commercial liability insurance with coverage limits customary for our industry. Proof of coverage is available on request.
9.2 Client Responsibility
The Client is responsible for:
- Securing and paying for any venue-required event insurance (including liability and host liquor liability where applicable)
- Securing any required permits (e.g., outdoor amplified sound, alcohol service, street closures)
- Maintaining homeowner's or renter's insurance covering events at private residences, where applicable
We will assist in identifying these requirements but cannot procure them on your behalf.
10. Limitation of Liability
To the maximum extent permitted by California law:
- Cap: My Projects's total liability arising out of or related to this Agreement is limited to the total fees actually paid by you under this Agreement.
- Exclusions: My Projects will not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost wages, emotional distress (except where required by California law), loss of goodwill, or loss of business opportunity.
- No warranty on vendor performance: Section 8 governs vendor-related issues.
This Section 10 does not limit liability for fraud, gross negligence, or willful misconduct.
11. Indemnification
11.1 By Client
You agree to indemnify, defend, and hold harmless My Projects and its officers, directors, employees, and contractors from any third-party claim, loss, damage, or expense (including reasonable attorneys' fees) arising from:
- Your or your guests' conduct at the Event
- Your breach of this Agreement
- Any inaccurate or misleading information you provide to us or to vendors
- Property damage or personal injury caused by you or your guests at the Event
11.2 By My Projects
We will indemnify you against third-party claims arising from our gross negligence or willful misconduct, subject to the limitations in Section 10.
12. Confidentiality
Each party agrees to keep confidential any non-public information shared by the other in connection with this Agreement, including pricing, business operations, guest lists, and personal details. This obligation continues for three (3) years after the Event date.
This Section does not prevent My Projects from using general descriptions of the Event (style, theme, guest count range, location) in our portfolio and marketing, subject to Section 7.
13. Governing Law and Dispute Resolution
13.1 Governing Law
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles.
13.2 Informal Resolution
Before filing any claim, the parties agree to attempt to resolve disputes informally for at least thirty (30) days, beginning with a written notice describing the dispute.
13.3 Venue
Any dispute that cannot be resolved informally must be brought exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to the personal jurisdiction of those courts.
13.4 Attorneys' Fees
The prevailing party in any dispute is entitled to recover reasonable attorneys' fees and costs, in addition to any other relief awarded.
14. Independent Contractor
My Projects is an independent contractor, not your employee, agent, partner, or joint venturer. Neither party may bind the other except as expressly authorized in this Agreement.
15. Notices
Notices under this Agreement must be sent in writing to:
- My Projects: m.projectsinc@gmail.com (with a copy to 15313 Cabrito Rd, Unit 107, Van Nuys, CA 91406)
- Client: the email address used to accept this Agreement
Notice by email is effective upon delivery confirmation; notice by mail is effective three (3) business days after deposit with the U.S. Postal Service.
16. Assignment
Neither party may assign this Agreement without the other's prior written consent, except that My Projects may assign this Agreement to a successor in connection with a merger, acquisition, or sale of substantially all of its assets.
17. Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be replaced by an enforceable one that most closely reflects the original intent.
18. Entire Agreement
This Agreement, together with your accepted quote, our Privacy Policy, and our Refund & Cancellation Policy, constitutes the entire agreement between the parties regarding the Event. It supersedes all prior discussions, proposals, and understandings.
Any modification must be in writing and signed (electronically or otherwise) by both parties.
19. Electronic Signature
By submitting your payment, clicking "I agree" at checkout, or otherwise confirming acceptance through our electronic checkout system, you acknowledge that:
- You have read and understood this Agreement
- You intend your electronic acceptance to have the same legal effect as a handwritten signature
- You have authority to bind yourself (and any party on whose behalf you are booking) to these terms
A copy of this Agreement and your accepted quote will be emailed to you at the address you provide.
